These terms govern your use of the BeigeCRM platform. By using our services, you agree to these terms.

Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and LEVITATION INFOTECH LLP ("BeigeCRM", "Company", "we", "us", "our"), a limited liability partnership incorporated under the laws of India with its registered office at 82 A, E4-038A, Noida Sector 82, Gautam Buddha Nagar, India. By accessing or using the BeigeCRM platform at https://beigecrm.com and https://app.beigecrm.com (the "Platform"), including any associated websites, mobile-optimized interfaces, APIs, and services (collectively, the "Services"), you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree to these Terms, you must not access or use the Services. These Terms may be updated at any time without prior notice. Your continued use of the Services after any modification constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

Description of Services

BeigeCRM is a cloud-hosted customer relationship management (CRM) software-as-a-service ("SaaS") platform. The Services may include, but are not limited to: contact and company management, lead and deal pipeline tracking, email integration, email campaigns, telephony features, appointment scheduling, reporting and analytics, artificial intelligence assisted features, and team collaboration tools. The specific features, functionality, and availability of the Services may vary by subscription plan, and are subject to change at any time without prior notice. We reserve the right to add, modify, suspend, or discontinue any part of the Services at our sole discretion.

Account Registration and Security

To use the Services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: (a) provide true, accurate, and complete registration information; (b) maintain and promptly update your account information; (c) notify us immediately of any unauthorized access to or use of your account; (d) not share your account credentials with any third party. We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or fraudulent. You are solely responsible for any and all activities that occur under your account, whether or not authorized by you.

Subscription Plans and Payment

The Services are offered under various subscription plans, which may include free tiers and paid tiers. Details of available plans and pricing are published on the Platform and are subject to change. For paid subscriptions: (a) fees are charged in advance on a monthly or annual basis as selected by you; (b) all fees are exclusive of applicable taxes unless stated otherwise; (c) payments are processed through our third-party payment processor (currently Razorpay); (d) you authorize us to charge your designated payment method for all applicable fees; (e) failure to pay may result in suspension or termination of your access to the Services. We may change our pricing at any time. Price changes for existing subscriptions will take effect at the start of the next billing cycle following notice of the change.

Free Trials

We may offer free trial periods for certain subscription plans. During the free trial, you will have access to designated features of the Services at no charge. Free trials are limited to one per organization and are intended for evaluation purposes only. We reserve the right to: (a) modify or terminate free trial offers at any time; (b) limit free trial eligibility; (c) convert free trial accounts to paid subscriptions upon expiry unless cancelled by you before the trial period ends. Data entered during a free trial may be retained or deleted at our discretion upon trial expiration if you do not convert to a paid subscription.

Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, rules, and regulations. You shall not: (a) Use the Services to store, transmit, or process any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable; (b) Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services; (c) Use the Services to send unsolicited commercial communications (spam) in violation of applicable anti-spam laws; (d) Interfere with or disrupt the integrity or performance of the Services or third-party data contained therein; (e) Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services; (f) Use the Services to develop a competing product or service; (g) Resell, sublicense, or otherwise make the Services available to any third party without our written consent; (h) Use the Services in any manner that could damage, disable, overburden, or impair any of our servers or networks; (i) Use automated scripts, bots, or other automated means to access the Services except through our published APIs; (j) Upload or transmit viruses, malware, or any other malicious code. We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision.

Your Data and Content

You retain all ownership rights to the data and content you submit, upload, or store through the Services ("Your Data"). By using the Services, you grant us a limited, non-exclusive, worldwide license to use, process, and store Your Data solely for the purpose of providing and improving the Services. You are solely responsible for: (a) the accuracy, quality, and legality of Your Data; (b) the means by which you acquired Your Data; (c) ensuring that Your Data does not violate any third-party rights or applicable laws; (d) maintaining independent backups of Your Data. We do not claim ownership of Your Data. Upon termination of your account, we may retain Your Data for a reasonable period to facilitate account recovery or as required by law, after which it may be permanently deleted. We are not liable for the loss, corruption, or unauthorized access to Your Data except to the extent caused by our gross negligence.

Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, interfaces, logos, trademarks, and other intellectual property displayed on or available through the Platform, are the exclusive property of BeigeCRM or its licensors and are protected by Indian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms. This license does not include any right to: (a) modify, copy, or create derivative works based on the Services; (b) sell, resell, or commercially exploit any aspect of the Services; (c) use any data mining, robots, or similar data gathering and extraction tools on the Services. All rights not expressly granted herein are reserved by BeigeCRM.

Third-Party Services and Integrations

The Services may integrate with or provide access to third-party services, including but not limited to email providers (Gmail, Outlook, SMTP/IMAP services), telephony services (Twilio), payment processors (Razorpay), and video conferencing services (Google Meet). Your use of any third-party service is subject to that third party's own terms of service and privacy policy. We are not responsible for the availability, accuracy, security, or practices of any third-party service. We do not endorse, warrant, or guarantee any third-party service. Any reliance on third-party services is at your own risk. We may modify, add, or remove third-party integrations at any time without prior notice.

Service Availability and Modifications

We strive to maintain the availability of the Services but do not guarantee uninterrupted, timely, secure, or error-free operation. The Services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. We reserve the right to: (a) modify, update, or discontinue any feature or functionality of the Services at any time, with or without notice; (b) perform scheduled and emergency maintenance that may temporarily affect availability; (c) impose limits on certain features or restrict access to parts or all of the Services without notice or liability. BeigeCRM is a continuously evolving platform. As a new product, the Services may contain bugs, errors, or incomplete features. We make commercially reasonable efforts to identify and resolve issues, but we cannot guarantee that all issues will be resolved within any specific timeframe.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, BEIGECRM DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED WITHIN ANY SPECIFIC TIMEFRAME; (E) THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT, DATA, OR INFORMATION DOWNLOADED, OBTAINED, OR OTHERWISE ACCESSED THROUGH THE USE OF THE SERVICES IS AT YOUR OWN DISCRETION AND RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEMS OR LOSS OF DATA RESULTING FROM SUCH ACTIVITIES. FEATURES POWERED BY ARTIFICIAL INTELLIGENCE, INCLUDING BUT NOT LIMITED TO EMAIL DRAFTING ASSISTANCE AND AUTOMATED CALL ROUTING, ARE PROVIDED FOR INFORMATIONAL AND CONVENIENCE PURPOSES ONLY. AI-GENERATED CONTENT OR SUGGESTIONS MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND APPROVING ANY AI-GENERATED OUTPUT BEFORE USE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEIGECRM, ITS DIRECTORS, PARTNERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES; (B) ANY LOSS OR DAMAGE ARISING FROM: (I) YOUR USE OF OR INABILITY TO USE THE SERVICES; (II) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; (III) ANY THIRD-PARTY CONDUCT ON THE SERVICES; (IV) ANY BUGS, ERRORS, OR INACCURACIES IN THE SERVICES; (V) ANY INTERRUPTION OR CESSATION OF THE SERVICES; (VI) ANY CONTENT OR DATA OBTAINED THROUGH THE SERVICES; (C) THE TOTAL AGGREGATE LIABILITY OF BEIGECRM FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID TO BEIGECRM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (II) ONE HUNDRED US DOLLARS (USD $100). THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF BEIGECRM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless BeigeCRM, its partners, officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) Your use of and access to the Services; (b) Your violation of any provision of these Terms; (c) Your violation of any applicable law, rule, or regulation; (d) Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or proprietary right; (e) Any claim that Your Data caused damage to a third party; (f) Any data you submit, store, transmit, or otherwise make available through the Services. This indemnification obligation will survive the termination or expiration of these Terms and your use of the Services.

Account Suspension and Termination

We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice, including but not limited to situations where: (a) you breach these Terms; (b) we are required by law to do so; (c) we discontinue the Services or any part thereof; (d) your account has been inactive for an extended period; (e) we reasonably believe your actions may cause legal liability for you, other users, or BeigeCRM. You may terminate your account at any time through the Platform settings or by contacting us at help@beigecrm.com. Upon termination: (a) your right to use the Services immediately ceases; (b) we may delete Your Data after a reasonable retention period; (c) any outstanding fees become immediately due and payable; (d) provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 8, 11, 12, 13, 15, 16, and 17.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, power outages, internet or telecommunications failures, cyberattacks, strikes, or government actions.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably through good faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be subject to the exclusive jurisdiction of the courts in Gautam Buddha Nagar, Uttar Pradesh, India. You irrevocably consent to the jurisdiction of such courts and waive any objection to the laying of venue in such courts.

General Provisions

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and BeigeCRM regarding the use of the Services. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and BeigeCRM's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction. Notices: All notices to us must be sent to help@beigecrm.com. Notices to you will be sent to the email address associated with your account. No Agency: Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and BeigeCRM.
