1. Acceptance of Terms
By accessing or using BeigeCRM's website, platform, services, or any related applications (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use our Services. Your continued use of the Services constitutes your acceptance of any changes to these Terms.
2. Service Description
BeigeCRM provides customer relationship management software and related services. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of the Services.
3. User Accounts and Registration
3.1 Account Creation
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice, for any reason including but not limited to: violation of these Terms, fraudulent activity, abusive behavior, non-payment, or any conduct we deem harmful to our Services or other users.
3.3 Organization Emails Only
Early access and certain features require the use of a valid organization email address. Personal email addresses (Gmail, Yahoo, Outlook, etc.) and disposable email addresses are not permitted for registration.
4. Intellectual Property Rights
4.1 Our Rights
All content, features, functionality, software, code, designs, graphics, user interface, and trademarks on our Services are owned by BeigeCRM or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services.
4.2 Your Data
You retain all rights to the data you input into our Services. By using our Services, you grant us a limited license to use, store, process, and display your data solely for the purpose of providing our Services to you.
4.3 Restrictions
You must not: (a) reverse engineer, decompile, or disassemble our software; (b) remove any copyright, trademark, or proprietary notices; (c) use our Services to develop competing products; (d) scrape, mine, or extract data from our Services using automated means; or (e) attempt to gain unauthorized access to our systems.
5. Payment and Billing
5.1 Fees
You agree to pay all fees associated with your subscription plan. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing at any time with 30 days' notice.
5.2 Payment Method
You must provide valid payment information and authorize us to charge your payment method for all fees. You are responsible for all charges incurred under your account.
5.3 Late Payment
If payment is not received by the due date, we may suspend or terminate your access to the Services. Late payments may incur additional fees as permitted by law.
5.4 Taxes
All fees are exclusive of applicable taxes, duties, or levies. You are responsible for payment of all such taxes, except for taxes based on our net income.
6. Acceptable Use Policy
6.1 Prohibited Activities
You must not use our Services to: (a) violate any laws or regulations; (b) infringe on others' intellectual property rights; (c) transmit harmful code, viruses, or malware; (d) engage in fraudulent activities; (e) harass, abuse, or harm others; (f) spam or send unsolicited communications; (g) interfere with the operation of our Services; or (h) attempt to circumvent security measures.
6.2 Content Standards
You are solely responsible for all content you upload, post, or transmit through our Services. You must not upload content that is illegal, defamatory, obscene, offensive, or violates any third-party rights.
6.3 Monitoring
We reserve the right to monitor, review, and remove any content at our sole discretion, but we are not obligated to do so.
7. Data Privacy and Security
7.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.2 Security
While we implement reasonable security measures, we cannot guarantee absolute security. You acknowledge that you provide data at your own risk.
7.3 Data Backup
You are responsible for maintaining your own backups of your data. We are not liable for any loss or corruption of data.
8. Disclaimers and Limitation of Liability
8.1 No Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEIGECRM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY INTERRUPTION OR CESSATION OF THE SERVICES; (D) ANY BUGS, VIRUSES, OR HARMFUL CODE; (E) ANY ERRORS OR OMISSIONS IN CONTENT; OR (F) ANY USER CONTENT OR THIRD-PARTY CONDUCT.
8.3 Maximum Liability
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
9. Indemnification
You agree to indemnify, defend, and hold harmless BeigeCRM, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your content; or (e) any fraudulent or illegal activity.
10. Service Level Agreement
While we strive for 99.9% uptime, we do not guarantee uninterrupted availability. Scheduled maintenance will be announced in advance when possible. We are not liable for downtime, service interruptions, or data loss.
11. Third-Party Services and Links
Our Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.
12. Beta Features and Testing
We may offer beta features or experimental functionality. These features are provided "as is" without warranty and may be discontinued at any time. You acknowledge that beta features may contain bugs or errors.
13. Export Compliance
You agree to comply with all applicable export and import control laws and regulations. You represent that you are not located in a country subject to embargo or on any government restricted party list.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BeigeCRM is registered, without regard to conflict of law provisions.
14.2 Arbitration
Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
14.3 Class Action Waiver
You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.
16. Termination
16.1 By You
You may terminate your account at any time by following the cancellation process in your account settings. You remain liable for all fees incurred prior to termination.
16.2 By Us
We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of these Terms.
16.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. We may delete your data after termination. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.
17. General Provisions
17.1 Entire Agreement
These Terms constitute the entire agreement between you and BeigeCRM regarding the Services and supersede all prior agreements.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
17.5 Force Majeure
We are not liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
